ACCEPTABLE USE POLICY

  1. Preamble

The intent of this Acceptable Use Policy (the "Policy") is to make it clear to everyone who uses the OpenWild platform (the "Platform") and services (free or paid) (the "Services") what behaviour and what content is not acceptable. This Policy applies to both Creators and Brands, and forms part of the Creator Terms of Use and of the Brand Terms of Use (together the "Terms"). We will take action against any person who is found to be in violation of this Policy.

For the purposes of this Policy, "Creator" means a natural person registered to the Platform in order to produce and submit content; "Brand" means a legal entity or business registered to the Platform in order to create and fund campaigns; and "Authorised Users" means the individual employees, contractors or representatives of a Brand who are permitted by that Brand to access and use the Platform under its Account. A Brand is responsible for ensuring that all of its Authorised Users comply with this Policy and the Terms, and must promptly revoke access for any individual who is no longer authorised to use the Platform on its behalf.

These rules form part of our broader Terms of Service. If you see an undefined term here, it has the same definition as in the Terms of Service (the “Terms”).

This Policy is a living document and will be updated as necessary. Continued use of OpenWild requires compliance with this Policy as well as our Terms and Privacy Policy.

You must use our Platform and Services according to our Terms and posted policies. A violation of these policies may result in account termination, without recourse or refund, in our sole and exclusive discretion. If we disable your account for a violation of our Terms, you will not create another account without our permission.

  1. General Legal and Acceptable Use

While using the Platform and Services you must;

  • Use your best efforts to prevent unauthorized access to or use of the Services, including by maintaining a strong password;

  • Keep your passwords and other login credentials for the Services confidential;

  • Monitor and control all activity conducted through your account;

  • Notify us promptly if you become aware of or suspect any security breach regarding your account, including any loss, theft, or unauthorized disclosure or use of your (or any of your Authorized Users’) username, password, or account;

  • Limit access to the Platform only to Authorized Users and will promptly disable all access to the Account Dashboard by any employee, contractor or Client representative who is no longer authorized to use the Platform;

  • You connect your own social media accounts to the Platform and publish content on those accounts. You are solely responsible for complying with the applicable terms of those social networks (the "Third-Party Service Terms"), including their rules on branded content, paid partnerships, artificial-intelligence generated content, automation and platform manipulation. These include without limitation and as applicable:

  • the Twitter Terms of Service published at www.x.com/tos;

  • the Meta Terms of Service published at www.facebook.com/legal/terms;

  • the Instagram Terms of Use published at https://help.instagram.com/581066165581870;

  • the TikTok Terms of Service published at https://www.tiktok.com/legal/terms-of-service;

  • the YouTube Terms of Service published at www.youtube.com/t/terms.

  • A breach by you of a Third-Party Service Term may result in the removal of your content by the relevant social network, in the loss of your connected account and in the loss of any reward which has not yet accrued. OpenWild is not responsible for any such consequence.

  1. Non-acceptable Uses of OpenWild Platform

While using the Platform and Services you may not;

  • upload or share Customer Content that you do not own or otherwise have the right to share;

  • defame, abuse, harass, stalk, threaten, or otherwise violate legal rights (e.g., rights of privacy and publicity) of the Company, or use information learned from the Platform or Services to defame, abuse, harass, stalk, threaten, intimidate, or mislead, or otherwise violate legal rights of the Company or any other person;

  • breach any international, federal, or local legislation, regulation, rule, or ordinance;

  • contact the Company to share a piece of information that is defamatory, profane, infringing, obscene, unlawful, offensive, and/or harmful, or that advocates, endorses, condones, or promotes racism, bigotry, hatred, or physical harm of any kind against any individual or group of individuals;

  • use the Platform or any Services other than for their intended purpose and/or for any purpose in violation of applicable local, state, federal, or international law;

  • use information obtained from the Platform to contact, advertise to, solicit or sell to any other Member outside the Platform without their prior explicit consent, or to circumvent the Platform in respect of a campaign found through it;

  • submit any content linking to multilevel marketing schemes, pyramid schemes, or off-topic content;

  • post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or any other personally identifiable or private information from any User;

  • spam, phish, pharm, pretext, bot, crawl, or scrape the Platform for any scandalous, obscene or immoral purpose;

  • interfere with or circumvent the safety measures of the Platform or Services;

  • attempt to reverse engineer, de-compile, hack, disable, interfere with, disassemble, copy, or disrupt the integrity or the performance of the Platform or the Services;

  • restrict or inhibit any other User from accessing and using the Platform and/or any Services;

  • use a robot, spider, manual, and/or automatic process, or device to data-mine, data-crawl, scrape, or index the Platform in any manner;

  • hack or interfere with the Platform, its servers, or any connected networks;

  • adapt, alter, license, sublicense, or translate the Platform or the Services for your own personal or commercial use;

  • modify or otherwise make derivative works of the Platform, or reproduce, distribute, or display the Platform except as expressly permitted under these Terms;

  • use the Platform or the Services to collect Registration Information of other Users by electronic or other manipulative means as well as use the Platform to harvest, collect, scrape, gather, or assemble information or data regarding other Users, including email addresses, without their consent;

  • remove or modify, visually or otherwise, any copyright, trademarks, or other proprietary marks and rights owned by the Company;

  • use the Platform or Services in a manner which is false or misleading (directly or by omission or failure to update information) or for the purpose of accessing or otherwise obtaining OpenWild’s trade secrets for public disclosure or other purposes;

  • attempt to reverse-engineer, de-anonymise, or re-identify any individual from aggregated or anonymised statistical outputs provided by the Platform, or combine such outputs with other data sources for the purpose of identifying Creators;

  • use, transfer, distribute, or dispose of the Platform or Services in any manner that could compete with the business of OpenWild; or

  • advocate, encourage, or assist any third party to engage in the foregoing restricted activities.

  • generate, purchase, procure or otherwise artificially inflate views, likes, comments, shares, saves or followers, or use bots, automation, engagement pods, click farms, incentivised traffic or paid traffic in order to reach or appear to reach a campaign target, or instruct, encourage or reward any person to do so;

  • manipulate, spoof, intercept or otherwise interfere with the performance metrics used by the Platform for verification, or with the interfaces through which those metrics are obtained;

  • create or use more than one account of the same type, use another person's account or another person's social media account, or misrepresent the ownership of, or your authority over, a connected social media account;

  • submit content which you did not produce or in respect of which you do not hold the necessary rights, or submit the same content to more than one campaign except where the campaign brief expressly permits it;

  • register or operate a Brand Account in the name of a company, brand or trademark which you are not authorised to represent;

  • publish content produced under a campaign without disclosing its commercial nature where disclosure is required by applicable law or by the rules of the relevant social network, or instruct or permit any person to do so;

  • fail to identify content generated wholly or substantially by artificial intelligence as such, where identification is required by applicable law or by the rules of the relevant social network.

  1. Prohibited Campaign Content

When creating and publishing a campaign on the Platform, and when producing content under a campaign, you may not create, publish or request content that:

  • requests or solicits special categories of personal data or other sensitive information from any person, including health or medical information, financial account details, government-issued identification numbers or biometric data;

  • discriminates against, demeans or targets individuals on the basis of a protected characteristic, including race, colour, national origin, religion, gender, sexual orientation, disability or age;

  • is designed to identify, expose or infer an individual's trade union membership, political affiliation, religious belief, health status or membership of any other protected group;

  • is unlawful, defamatory, harassing, obscene, violent or otherwise in violation of the Prohibitions set out in the Terms;

  • misleads the audience about the identity of the advertiser, about the commercial nature of the content, or about the characteristics, price, origin or performance of the product or service promoted;

  • promotes a product, service or activity which may not lawfully be advertised, or which may be advertised only subject to a licence, authorisation, age restriction or mandatory warning which has not been obtained or applied, including alcohol, tobacco and nicotine products, gambling and betting, medicines, medical devices, food supplements with health claims, financial services, crypto-assets, weapons, and adult content;

  • targets or is likely to appeal primarily to persons under the age of eighteen (18);

  • infringes the intellectual property, personality or privacy rights of any third party, including through the unauthorised use of music, footage, trademarks or the image of any person;

  • disparages a competitor or makes comparative claims which do not comply with applicable comparative advertising rules; or

  • makes a health, environmental or performance claim which cannot be substantiated.

OpenWild reviews campaigns before publication for the limited purpose of screening out content which violates this section, and reserves the right to reject or remove a campaign or a submission which violates this section, and to suspend or terminate the Account concerned in the event of a repeated or serious violation. This review does not relieve you of your own responsibility for compliance and does not constitute approval of your campaign for the purposes of advertising, consumer protection or sector-specific regulation.

  1. Advertising Disclosure and Campaign Conduct

Content produced under a campaign is commercial communication. When publishing or commissioning such content you must:

  • ensure that the commercial nature of the content is disclosed clearly, prominently and in a manner which is understandable to the average consumer at first sight, using the branded-content or paid-partnership tool of the relevant social network where one is available together with an appropriate disclosure (such as #ad, #sponsored, "işbirliği" or "reklam"), in each case as required by the applicable law of the audience's jurisdiction;

  • not make false, misleading or unsubstantiated claims about the product or service promoted, and not present a personal experience or testimonial which is not genuine;

  • comply with all applicable advertising standards and regulations, including sector-specific rules applicable to your industry;

  • not use a campaign to collect personal data from any person beyond what is necessary for the stated purpose of the campaign, and not direct the audience to a destination which collects personal data unlawfully;

  • ensure that the content complies with the Prohibited Campaign Content section above and with the rules of the social network on which it is published.

OpenWild reserves the right to review and reject a campaign or a submission which does not comply with this Policy or which OpenWild, acting reasonably, considers inappropriate for the Platform.

  1. Rewards and Reward Pool

The Platform allows Brands to fund a reward pool and to distribute rewards to Creators whose content reaches the objective target published in the campaign ("Rewards"). Where you use the Reward functionality:

  • you are responsible for ensuring that the reward structure of your campaign does not constitute a regulated financial promotion, a prize competition, a lottery, a raffle or a game of chance under the applicable law of any relevant jurisdiction; a Reward must be payable on the basis of an objective, published and measurable criterion and not on the basis of chance;

  • you must not use a Reward as an inducement to obtain content, engagement or personal data which would otherwise require informed and freely given consent under applicable data protection or advertising law, and you must not condition a Reward on the content being published without the required advertising disclosure;

  • Rewards are funded by the Brand in advance, are held by OpenWild in the reward pool and are released in accordance with the Terms. OpenWild does not guarantee that any Reward will be earned by any Creator or that any campaign will attract participation;

  • OpenWild may withhold the release of a Reward pending investigation where it reasonably suspects a violation of this Policy, and may return the amount to the funding Brand where a claim is finally rejected. OpenWild does not retain a withheld Reward for its own benefit.

  1. Campaign Eligibility Criteria

Where a campaign specifies eligibility criteria for participating Creators (such as the social network used, minimum follower count, language or country), you must:

  • apply such criteria only where they are objectively necessary for the campaign and are published transparently in the campaign brief;

  • not apply criteria which exclude or treat Creators differently on the basis of a protected characteristic under applicable law (including race, national origin, religion, disability, age beyond any lawful minimum, gender or sexual orientation);

  • protected characteristic under applicable law (including but not limited to race, national origin, religion, disability, or sexual orientation);

  • not apply criteria which are impossible or unreasonably burdensome for a Creator to verify before joining a campaign; and

  • applicable to your organisation;

  • ensure that the campaign complies with the Prohibited Campaign Content section of this Policy and with all applicable laws.

OpenWild reserves the right to review, restrict or remove a campaign which, acting reasonably, it considers to violate this section or applicable law.

  1. Relationship with Creators

Where you engage Creators through the Platform, you are solely responsible for ensuring that your use of the Platform complies with all applicable advertising, consumer protection, tax, labour and data protection legislation in the relevant jurisdictions. In particular, you must:

  • not treat a Creator as your employee and not exercise instruction, supervision or control over a Creator beyond the requirements published in the campaign brief;

  • not use the Platform to monitor, profile or evaluate an individual Creator beyond what is necessary in order to assess compliance with the campaign brief;

  • not reject a claim on a ground which is not contained in the campaign brief, and not use the claim approval process in order to obtain content or performance beyond the published campaign terms without paying additional consideration;

  • where you process the personal data of Creators for your own purposes, comply with your obligations as an independent data controller, including the provision of information to the Creator and the establishment of a lawful basis.

OpenWild provides the Platform as a technology service only. It is not an advertising agency, is not the advertiser and is not a party to the advertising relationship between a Brand and a Creator, and it does not assume any responsibility for your compliance with the obligations arising from your use of the Platform.

  1. Using and Transferring Content Outside of OpenWild

Where OpenWild obtains content or data (including submitted content, posts, profile information and performance statistics) from a social network or other third-party service which you connect to the Platform, OpenWild does so subject to the terms and conditions which that social network or third-party service imposes on the use of such content and data within our Services.

IT IS YOUR RESPONSIBILITY TO IDENTIFY WHICH SOCIAL NETWORKS OR OTHER THIRD-PARTY SERVICES CLIENT CONTENT ORIGINATE FROM AND TO ENSURE THAT YOUR ACCESS TO AND USE OF THOSE CLIENT CONTENT IS IN COMPLIANCE WITH THIS SECTION AND ALL TERMS AND CONDITIONS REQUIRED BY THE APPLICABLE SOCIAL NETWORK OR OTHER THIRD-PARTY SERVICE.

If a social network or other third-party service requires OpenWild to remove content or data from the OpenWild Services, you agree to cooperate with OpenWild to ensure that the affected content or data is also removed from your and your service providers' systems.

  1. Special Provisions for Content Requests

When requesting content from Creators through a campaign, you must not:

  • request that any Creator submit personal medical information, identification numbers, payment card details, financial information or other sensitive information;

  • request content which would violate any applicable law, rule or regulation, the rules of the relevant social network, or this Policy; or

refer to OpenWild, or use our name, trademarks or trade names, in connection with your request for content in a manner which suggests that OpenWild endorses, sponsors or approves your campaign, your products or your services.

  1. Enforcement, Strikes and Appeals

  • Where we reasonably suspect a violation of this Policy we may, in a manner proportionate to the suspected violation: request additional information; suspend verification of a submission; withhold a Reward pending investigation; refuse to publish or remove a campaign or a submission; record a strike against the Account; suspend the Account temporarily; or, in the case of a serious or repeated violation, terminate the Account.

  • We will notify you of the measure taken and of the reason for it, unless we are prevented from doing so by law or by an ongoing investigation. Where your Account is banned you may submit a ban appeal through the Platform; we will review the appeal and notify you of the outcome.

  • Termination of an Account under this Policy does not affect amounts which have already accrued in accordance with the Terms, save where those amounts arise from the violation concerned.
